Agreement & definitions

These Terms of Service (“Terms“) govern your access to and use of RiskLogged (“RiskLogged“, “the Service“, “we“, “our“), a pre-trade risk and journaling tool operated by WXYwaves (“WXYwaves“, “Provider“).

By creating an account, joining the early-access waitlist, or paying for a subscription, you (“you“, “your“, “Subscriber“) agree to these Terms. If you do not agree, do not use the Service.

Capitalised terms used throughout:

• Account — the credentials and profile you create to access RiskLogged.
• Subscription — a recurring paid plan that grants access to the Service.
• Founding Member — a Subscriber whose subscription was activated during the first cohort and who is entitled to the founding-member price.
• Trade Data — entries, journal text, conviction scores, alerts, settings, and metadata you submit.

Eligibility & account

You must be at least 18 years old and legally able to enter into a binding contract in your country of residence. You are responsible for the accuracy of any information you provide and for safeguarding your account credentials.

One person, one account. You may not share, transfer, sell, or assign your account to anyone else without our written consent. Activity carried out under your account is your responsibility, including activity by anyone you grant access to your credentials.

You agree to notify us immediately at [email protected] if you suspect unauthorised access to your account.

Subscription & founding-member price

RiskLogged is offered as a monthly subscription. The standard list price will be $49 USD per month. The first cohort, opening in Q3 2026, is offered at the founding-member price of $29 USD per month.

The price lock applies to the base RiskLogged subscription only. Future add-ons, premium tiers, or related products may be priced separately. We will notify you in advance of any change that could affect a Founding Member’s lock-in.

Reserving a seat on the waitlist does not guarantee a Founding Member spot. Seats are allocated in the order seats become available, subject to capacity and verification.

Billing, taxes, currency

Subscriptions are billed monthly in advance in US dollars (USD), on the calendar day your subscription was activated. Payment is taken automatically from the payment method on file.

Prices are exclusive of VAT, sales tax, or other applicable taxes. Where required by law, applicable taxes will be added at checkout based on your billing address. You are responsible for any conversion fees, foreign-transaction fees, or bank charges your payment method may apply.

If a payment fails, your access to RiskLogged may be suspended until payment is restored. We may terminate your subscription if payment remains unresolved.

Cancellation & refunds

You can cancel your subscription at any time from your account settings or by emailing [email protected]. Cancellation takes effect at the end of the current billing period. You will continue to have access until then.

RiskLogged is a digital service delivered immediately upon activation. By starting a subscription, you expressly consent to immediate provision of the Service and acknowledge that this affects any statutory right of withdrawal that would otherwise apply.

Outside the EU 14-day window, payments already made are non-refundable, including partial months. We may, at our discretion, issue a refund in cases of confirmed billing error or extended Service outage attributable to us.

Your data & privacy

Your Trade Data is yours. We process it to operate RiskLogged for you and do not sell it.

You may request export or deletion of your account data. The handling of personal data, including export format, retention, and timing, is described in our Privacy Policy, which forms part of these Terms. Where there is a conflict between these Terms and the Privacy Policy on data protection matters, the Privacy Policy prevails.

No investment advice

All trading and investment decisions are yours alone. The conviction scores, alerts, sleep gates, and pattern surfacing in RiskLogged are intended to help you enforce rules you have chosen. They do not predict markets, guarantee outcomes, or substitute for the advice of a licensed financial professional.

Trading carries substantial risk of loss, and is not suitable for every investor. Past behaviour, your own or anyone else’s, is not indicative of future results. You are solely responsible for compliance with the laws and regulations of your jurisdiction concerning trading, taxation, and reporting.

Acceptable use

You agree not to:

• Reverse engineer, decompile, or attempt to extract the source code of the Service.
• Use the Service to build a competing product or to train machine-learning models.
• Bypass, attempt to bypass, or interfere with rate limits or security mechanisms of the Service.
• Use the Service to log, transmit, or process data that is unlawful, infringes third-party rights, or contains malware.
• Share your account or otherwise allow third parties to access the Service through your subscription.
• Scrape, index, or harvest content from the Service for any purpose without our written permission.

We may suspend or terminate access for any breach of these acceptable-use rules, without refund and without prejudice to other remedies.

Beta service & availability

The first cohort of RiskLogged is offered as an early-access service. The product is under active development. Features may change, be removed, or be added during the cohort window. You may encounter bugs, downtime, or partial functionality during this period.

We aim for high availability but do not guarantee uninterrupted access. Scheduled maintenance, infrastructure failures, third-party outages, or events outside our reasonable control may cause temporary unavailability.

We may, but are not obliged to, incorporate suggestions you choose to share with us. Any feature ideas you voluntarily submit may be used by us without obligation or compensation to you.

Intellectual property

The Service, including all software, designs, copy, branding, and trademarks (“RiskLogged“, “WXYwaves“, related logos), is owned by WXYwaves and protected by intellectual-property law. We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your personal trading discipline during an active subscription.

You retain full ownership of your Trade Data. You grant us a limited licence to host, process, display back to you, and analyse your Trade Data solely to operate the Service for you.

Limitation of liability

To the maximum extent permitted by applicable law:

• The Service is provided “as is” and “as available“, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement.
• WXYwaves is not liable for any trading losses, missed opportunities, profits or losses on positions you opened or did not open, or any indirect, incidental, consequential, special, or punitive damages arising from your use of the Service.
• Our total aggregate liability to you under these Terms, in contract, tort (including negligence), or otherwise, is limited to the amount you paid us for the Service in the twelve (12) months preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law (including, where applicable, statutory consumer rights).

Termination

You may terminate this agreement at any time by cancelling your subscription as described in Section 5.

We may suspend or terminate your access immediately if you breach these Terms, particularly the acceptable-use rules in Section 8, or if required by law. On termination, your licence to use the Service ends and we may delete your account, subject to the data-retention rules in Section 6 and any obligations imposed by law.

Sections that by their nature should survive termination — including no-investment-advice, intellectual property, limitation of liability, and governing law — will survive.

Governing law

Any dispute arising out of or in connection with these Terms or the Service should first be raised with us at [email protected]. Mandatory consumer-protection laws of your country of residence apply where they grant you stronger rights than these Terms.

If you are a consumer in the European Union, you may also access the European Commission’s Online Dispute Resolution platform.

Changes to these terms

We may update these Terms from time to time. For material changes, we will notify active Subscribers in advance. Non-material changes (clarifications, formatting, links) may take effect on posting.

Continuing to use the Service after the effective date of an update means you accept the updated Terms. If you do not accept, you may cancel your subscription before the effective date and you will not be billed further.
